On July 27, Guotai Junan Securities issued a public announcement on the report on the tutoring filing status of Shanghai Sirui Technology Co., Ltd.
It was disclosed that Shanghai Si Rui Technology Co., Ltd. (hereinafter referred to as "Si Rui Technology") plans to issue shares for the first time and go public, and has hired Guotai Junan Securities as the guidance institution for its initial public offering.
Si Rui Technology focuses on MEMS sensors and smart application solutions. Through the merger and integration of equity or assets of related industries at home and abroad such as Magtron, Yuxin Technology, and ON Semiconductor MEMS Division, it has now formed a rich product line including six-axis IMU, accelerometers, magnetic sensors, pressure sensors, smart sensors, optical sensors, magnetic switches and encoders, sensor modules, etc., and has the ability to customize corresponding smart application solutions and services for customers. Si Rui Technology's products have a wide range of downstream applications, spanning consumer electronics, automotive electronics, and industrial markets.
As of the date of issuance of this announcement, Shanghai Lianhe and the Information Investment and Xinwei Technology under its control hold a total of 11.366% of the shares; the company's employee stock ownership platform holds a total of 8.96% of the shares; Guotou Venture Capital holds a 7.94% stake; Beyond Moore holds a 7.604% stake; Tongyuan Xinfu holds a 7.43% stake; Shanghai Shangxin New Micro Investment Management Co., Ltd. serves as the general partner of Shangchuang Kewei Phase II, Shanghai Yingao Xin and Internet of Things Phase III, hold a total of 5.71% of the shares; Yunfeng Qita holds a 6.755% stake; Xiaomi Changjiang holds a 5.066% stake; and the shareholding ratios of the remaining shareholders are all below 5%.
In summary, given that Si Rui Technology's equity structure is relatively dispersed, any single shareholder and its affiliates can neither control the company's general meeting of shareholders alone nor control the company's board of directors through the directors nominated by them. Therefore, Si Rui Technology has no controlling shareholder or actual controller.
