ST2019 Annual General Meeting of Shareholders approved all proposals

STMicroelectronics (NYSE: STM), a global semiconductor leader serving customers across multiple electronics applications, announced that all proposals were approved at the company's Annual General Meeting (AGM) held on May 23 in Amsterdam, the Netherlands.

The main proposals approved by shareholders are as follows:

Statutory financial statements for the year ended December 31, 2018, prepared in accordance with International Financial Reporting Standards (IFRS); the 2018 statutory financial statements were filed with the Netherlands Authority for the Financial Markets (AFM) on March 27, 2019 and are available on the Company’s website (www.st.com) and the AFM’s website (www.afm.nl).

· In the second, third and fourth quarters of 2019 and the first quarter of 2020, a cash dividend of US$0.24 per share of the Company's common stock will be distributed to shareholders of record in each dividend quarter, with a distribution plan of US$0.06 per quarter over four quarters in accordance with the following table;

Ms. Martine Verluyten was re-elected as Supervisor for a one-year term, which will expire at the 2020 Annual General Meeting of Shareholders;

· Ms. Janet Davidson will serve as a supervisor for a three-year term, which will expire at the 2022 Annual General Meeting of Shareholders;

· Ms. Lucia Morselli takes over Mr. Salvatore Manzi’s position as Supervisor for a three-year term, which will expire at the 2022 Annual General Meeting of Shareholders;
