IC distribution giant WT Microelectronics acquires Singapore's WT for over 1 billion yuan

According to China Times News, on the afternoon of April 13, IC distribution giant WT Semiconductor held a press conference on major information at the Taiwan Stock Exchange, and jointly announced with WT Semiconductor that WT Semiconductor will acquire 100% of WT Semiconductor's equity through its 100%-owned subsidiary WT Semiconductor Pte. Ltd., at a price of S$1.93 per share in cash and a total amount of approximately S$232.2 million, equivalent to approximately RMB 1.08 billion.

This transaction is expected to be completed in the third quarter of 2022, subject to approval by WorldHealth shareholders, relevant authorities, regulatory bodies and the Singapore High Court.

In addition, Albert Phuay, founder and CEO of WT Semiconductor, will receive some cash from this transaction to reinvest in 20% of WT Semiconductor's equity, while WT Semiconductor will hold 80% of WT Semiconductor's equity, and Albert Phuay will continue to serve as CEO of WT Semiconductor.

It is reported that Shijian Technology Co., Ltd. is a complete solution provider, providing high-quality components, engineering design and supply chain management services to Asian electronics manufacturers including original equipment manufacturers (OEM), original design manufacturers (ODM) and electronic manufacturing service providers (EMS).

Its net profit after tax reached US$24.5 million, a year-on-year increase of 137.1%.

Public information shows that WT Microelectronics was founded in 1993. As the second largest semiconductor component distributor in the Asia-Pacific region, WT Microelectronics represents more than 80 world-class semiconductor manufacturers and serves more than 8,000 high-quality customers. Currently, it has more than 40 operating locations in China, South Korea, Singapore, India, Thailand, Malaysia, Vietnam and other regions. 

The electronic components represented by WT Microelectronics are widely used in various application fields such as communications, computers and peripherals, consumer electronics, industrial control, Internet of Things and automobiles. In 2021, WT Microelectronics' annual revenue reached RMB 98.11 billion.   

This transaction is expected to bring strong comprehensive benefits to both parties, strengthening business expansion through complementary product lines. More importantly, through the services of both parties' experienced teams, WT Microelectronics will be able to provide customers with a wider range of product solutions and technical support services to facilitate customers' products to be launched quickly. 

In addition, combining the established customer bases of both parties will significantly enhance WT Microelectronics' distribution capabilities in the Asia-Pacific region. By cross-selling different product lines, both parties can not only achieve potential synergies, but also provide suppliers with more business expansion opportunities.
