YUYAN Silicon announced that the company intends to acquire 70% of the equity of DG Technologies Co., Ltd. (DGT) held by RS Technologies Co., Ltd. (RST) by paying cash. RST is the company's controlling shareholder, and this transaction constitutes a related transaction, but it is not expected to constitute a major asset reorganization. The transaction funds will be paid in cash by the company with its own funds based on the final confirmed transaction price. At present, the two parties have signed the "Equity Acquisition Intention Agreement", but the due diligence and audit evaluation work have not been completed, and the formal transaction agreement has not been signed. The specific transaction plan is still under discussion. This transaction still needs to comply with relevant laws and regulations and the relevant provisions of the "Company Articles of Association" and fulfill relevant approval and decision-making procedures. Since its establishment in December 2022, SiliconCore Technology has focused on the research and development and industrialization of chiplets and 2.5D/3D stacked chip EDA, and has become a leading team in the domestic full-process EDA for back-end design of stacked chips.
