On November 11, Dofluoro issued an announcement stating that its subsidiary Henan Nonferrous Metals Industry Co., Ltd. (hereinafter referred to as "Henan Nonferrous") recently signed a "Purchase Agreement" with Enchem Co., Ltd. Enchem Co., Ltd. plans to purchase lithium hexafluorophosphate products from Henan Nonferrous with a total amount of no less than RMB 1 billion in the next three years.

According to the agreement, from January 2022 to December 2024, Enchem Co., Ltd. will purchase lithium hexafluorophosphate products from Henan Nonferrous Metals with a total amount of no less than RMB 1 billion; the delivery terms shall be based on CIF (South Korea, Poland) and Zhangjiagang, China (ex-factory) prices.

The contract also stipulates that during the contract performance period, if natural disasters such as earthquakes and floods occur, or the government issues prohibition orders or notices such as phased suspension or reduction of production, product transportation restrictions, etc. based on safety and environmental protection, or a major suspension accident occurs in the industrial chain, resulting in a suspension accident of the overall supply, which causes one party to be unable to perform or perform the contract as scheduled, after timely providing third-party certification to notify the other party and reaching an agreement, both parties do not need to bear the liability for breach of contract for failure to deliver on time. The two parties will communicate in a timely manner to change the supply plan, and give priority to ensuring the performance of the contract even if force majeure is reduced.

Dofluoro stated that the company has rich experience in lithium hexafluorophosphate production, advanced technology, sufficient technical personnel, and the ability to fulfill the contract; the fulfillment of the above contract is expected to have a positive impact on the company's future operating performance.

According to the information, the purchaser Enchem Co., Ltd. mainly engages in technology research and development, technology transfer, technology consulting and related technical services for new energy equipment; mechanical equipment and parts, electrical equipment and accessories, plastic products, metal materials and products, electronic products and accessories, packaging materials, chemical products and raw materials (including hazardous chemicals limited to the items listed in the license), etc. Before this transaction, there was no relationship between the two parties.
