Analog Devices (ADI) and Maxim Integrated Products (Maxim) announced today that ADI’s acquisition of Maxim Integrated Products (Maxim) has received antitrust approval from China’s State Administration for Market Regulation.

Last July, Analog Devices announced on its official website that it had reached a final agreement with Maxim Integrated, and that Analog Devices would acquire Maxim in an all-stock transaction. According to the agreement between the two parties, after the transaction is completed, the existing shareholders of Analog Devices will own approximately 69% of the shares of the merged company, while Maxim shareholders will own approximately 31% of the shares. At the same time, two Maxim directors will join the ADI board of directors, including Maxim President and CEO Tunç Doluca.

If the transaction is successfully completed, it will undoubtedly consolidate ADI's leadership in the analog semiconductor field, and the market value of the combined company will exceed US$68 billion.

The transaction has now received all necessary regulatory approvals. ADI and Maxim expect the transaction to close on or about August 26, 2021, subject to the satisfaction of other customary closing conditions.
