Infineon's online annual shareholders meeting approved a dividend of 0.32 euros per share and announced changes in the Supervisory Board members: Dr. Herbert Diess and Mr. Klaus Helmrich will succeed Dr. Wolfgang Eder and Mr. Hans-Ulrich Holdenried. Dr. Herbert Diess will serve as Chairman of the Supervisory Board.


[February 22, 2023, Munich, Germany] The 23rd annual general meeting of shareholders of Infineon Technologies AG (FSE code: IFX / OTCQX code: IFNNY) came to an end. Dividend of 0.32 euros per share


The Annual General Meeting of Shareholders approved a dividend of €0.32 per share in compliance with the proposals of the Management Board and the Supervisory Board regarding profit distribution. The amount of this dividend increased by 5 euro cents compared with the previous year, an increase of nearly 19%.


Dr. Herbert Diess and Mr. Klaus Helmrich were newly elected as members of the Supervisory Board, and Dr. Herbert Diess took over as Chairman of the Supervisory Board.


Dr. Wolfgang Eder and Mr. Hans-Ulrich Holdenried resigned from their positions as members of the Supervisory Board, effective at the end of this Annual General Meeting of Shareholders. Dr. Herbert Diess and Mr. Klaus Helmrich were newly elected members of the Supervisory Board. At the Supervisory Board meeting immediately following the Annual General Meeting, the Supervisory Board unanimously elected Dr. Herbert Diess, a member of the Supervisory Board of Infineon from 2015 to 2020, as its new Chairman. Dr. Diess said: “I would like to thank the Supervisory Board of Infineon for its confidence in me and for electing me to this position. On behalf of the entire Supervisory Board and the Management Board, I would like to express my gratitude to Dr. Wolfgang Eder, a member of the Supervisory Board since 2019, for his leadership of the Supervisory Board. Given the successes achieved over the past four years, Infineon is now uniquely positioned to work on the future.”


Approved to hold shareholders’ meeting online


The annual general meeting also approved and granted the authority to hold the annual general meeting online. The Executive Committee has committed to using this authority only for two years. Shareholders will then be asked to decide again on the format of future general meetings.


Review and approve changes to the Executive Committee’s remuneration system and remuneration report


In addition, shareholders approved the remuneration report and changes to the executive board's remuneration system, making remuneration more closely linked to the company's success and increasing the weight of sustainability-related goals.


Infineon breaks ground on new factory in Dresden


At this annual general meeting of shareholders, Infineon reported to shareholders the construction of new factories for analog/mixed-signal technology and power semiconductors. Infineon's management board and regulatory authorities have approved the construction of the Dresden plant after a detailed analysis. Germany's Federal Ministry for Economic Affairs and Climate Action (BMWK) has approved early start of the project, which means Infineon can start work before the European Commission completes its review of statutory subsidies.


Infineon expands exhaust gas purification system


At this annual general meeting of shareholders, Infineon also announced the expansion of the exhaust gas purification system at the Kulim plant. Infineon’s climate strategy places the reduction of CO2 emissions at the forefront, and advanced exhaust gas purification systems can play a huge role in this. It is expected that by the end of fiscal year 2023, the upgrade of the Kulim plant will reduce global factory-related direct emissions (Scope 1) by approximately 8% compared to the previous year. Infineon also plans to build a new exhaust gas purification system in Austin, USA, which will further reduce the company's carbon emissions.
