Jiangsu Haisida Power Co., Ltd. (hereinafter referred to as "Haisida" or "Party A"), a wholly-owned subsidiary of Shanghai Prilite Composite Materials Co., Ltd. (hereinafter referred to as the "Company"), recently signed a "Strategic Cooperation Agreement" on "Sodium Ion Battery Product Development and Market Promotion" with Liyang Zhongke Haina Technology Co., Ltd. (hereinafter referred to as "Zhongke Haina" or "Party B").
Main contents of the agreement
1. Content and objectives of cooperation
Party A and Party B will leverage their respective strengths to cooperate in the development and market promotion of sodium-ion battery products. The two parties will use the agreed product development as a vehicle to form a cooperative team, investigate and discuss the market application direction, product form and technical specifications of sodium-ion batteries, and jointly implement the product development process. The two parties have the common goal of verifying and improving the performance and cost of sodium-ion battery materials, optimizing the design and performance of sodium-ion batteries, finding the best product manufacturing process, and giving full play to the market competitiveness of sodium-ion batteries.
2. Cooperation and division of labor
1. The two parties discussed and determined the product form, specification parameters and process of sodium-ion batteries;
2. The two parties discuss and determine the composition of the cooperation project team and the communication and feedback mechanism;
3. The two parties discuss and determine key issues such as the specific objectives and implementation paths of the cooperation project;
4. The two sides discussed and determined the basic equipment and facilities for battery manufacturing and the division of labor for processing sections;
5. Both parties jointly discuss and open up key parameters such as battery design and processing technology to each other;
6. Party B shall provide raw materials such as battery positive electrode, negative electrode and electrolyte;
7. Party A shall provide other raw materials and trial samples;
8. The two parties jointly researched the market information and application scenarios of sodium-ion batteries, discussed and determined the product promotion plan, and jointly promoted the introduction of sodium-ion batteries by downstream customers;
9. For battery products imported into downstream customers, Party B shall be responsible for the performance and quality of the positive electrode materials, negative electrode materials and electrolyte supplied, and Party A shall be responsible for the performance and quality of the battery products.
