Jiangsu Yinhe Electronics Co., Ltd. (hereinafter referred to as the "Company") recently signed the "Strategic Cooperation Agreement on Energy Storage Business" (hereinafter referred to as the "Cooperation Agreement") with Suzhou Times Huajing New Energy Co., Ltd. (hereinafter referred to as "Times Huajing") in Zhangjiagang High-tech Zone. The two parties intend to carry out in-depth cooperation on energy storage business.

Party A: Jiangsu Yinhe Electronics Co., Ltd.
Party B: Suzhou Times Huajing New Energy Co., Ltd.
Party A and Party B will respectively construct full industrial chain production lines for household energy storage systems and large container energy storage systems in the Galaxy New Energy Industrial Park. The goal is to form a new energy storage industry with a full industrial chain from lithium batteries (sodium ion batteries), modules, PACK, household energy storage systems, industrial and commercial energy storage systems, large container energy storage systems, and big data cloud platform management systems in the Galaxy New Energy Industrial Park.
Party B is responsible for the research, development, production and sales of large container energy storage systems and industrial and commercial energy storage system projects with a capacity of 200 kWh or more. Party A will invest in Party B and provide relevant resource support. Party A and Party B will jointly invest in a company controlled by Party A (hereinafter referred to as the "Project Company"), which specializes in the research, development, production and sales of small industrial and commercial energy storage, household energy storage and portable energy storage projects with a capacity of less than 200 kWh.
During the validity period of the Agreement, Party B promises that Party A will be its main partner in energy storage business. Without Party A's written consent, Party B promises not to sign any agreement with other companies that are in direct competition with Party A with the same cooperation content as this Agreement.
